Please read these Terms of Service (“Terms”) carefully before using the Overtype.ai website and services (the “Service”) operated by Overtype.ai (“we”, “us”, “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not use the Service.

1. Definitions

User / You / Your: any person or entity who uses the Service.

Content: any material, text, photos, links, webpages, data, or other information submitted to or generated via the Service.

Backlinks: contextual links placed on third-party websites pointing to pages submitted by you, obtained via our link network / exchange process.

Credits: units in our “fair exchange” system used to request or place backlinks.

Match / Matching: our algorithm’s pairing of a submitted page (or link request) with a partner site for backlink placement.

2. Service Description

Overtype.ai provides an AI-powered platform for building contextual, editorial backlinks via a fair exchange system. Features include:

  • Submitting pages for backlinking.
  • AI analysis of content to identify relevant matches.
  • Earning Credits by placing backlinks on your site for others.
  • Spending Credits to receive backlinks on partner sites.
  • Monitoring of backlinks with potential refunds if removed.

3. Registration, Accounts & Eligibility

  • You must create an account to access certain features.
  • You must provide accurate, current, and complete information.
  • You are responsible for safeguarding your login credentials.
  • You must be at least 18 years old and legally able to form a binding contract.

4. Acceptable Use Policy

You agree to use the Service responsibly and not to misuse it. Prohibited activities include, but are not limited to:

Illegal Activity

Using the Service for any unlawful purpose or in violation of applicable laws or regulations.

Intellectual Property Infringement

  • Submitting content you do not own or have rights to.
  • Infringing copyrights, trademarks, trade secrets, or other rights.

Abuse of the Service

  • Spamming or flooding the Service with irrelevant content.
  • Creating, distributing, or participating in link farms or manipulative SEO practices.
  • Attempting to game or exploit the Credits system.

Security Violations

  • Attempting to gain unauthorized access to the Service or its systems.
  • Uploading malicious code, viruses, or automated scripts to disrupt operations.

Harmful or Offensive Content

  • Posting or requesting links for content that is defamatory, hateful, abusive, obscene, harassing, or otherwise objectionable.
  • Promoting violence, terrorism, discrimination, or illegal substances.

Circumventing the Platform

  • Directly contacting, soliciting, or attempting to arrange backlinks with companies, websites, or domain owners that have been presented as matches or recommendations through the Service.
  • Attempting to arrange content placements, link exchanges, or any form of collaboration outside of Overtype.ai’s platform with matched partners.
  • Using information obtained through the Service to bypass our fair exchange system and Credits system.
  • All interactions with matched partners must occur exclusively through Overtype.ai's system and processes.

We reserve the right to suspend or terminate accounts that violate this Acceptable Use Policy without prior notice. Circumventing the platform may result in immediate account termination and forfeiture of all Credits.

5. Credits, Pricing, & Payments

  • Credits: Earned by placing links for others and spent to obtain backlinks.
  • Refunds: May be issued if links are removed, subject to our policies.
  • Beta Access: Free or trial features may be offered during testing phases.
  • Paid Services: If you purchase Credits or subscriptions, you agree to pay all applicable fees.

6. Intellectual Property

  • All Service content (software, code, UI, graphics, text, etc.) belongs to Overtype.ai or its licensors.
  • You retain ownership of your submitted content.
  • By submitting content, you grant Overtype.ai a non-exclusive, royalty-free license to use it as needed to provide the Service.

7. Monitoring, Quality, & Removal

  • We monitor backlinks to ensure compliance and quality.
  • Non-compliant links may be removed, and Credits refunded at our discretion.
  • We may decline or remove Content or partner sites that fail to meet editorial or quality standards.

8. Disclaimers & Limitation of Liability

  • The Service is provided “as is” and “as available.”
  • We make no warranties regarding uptime, results, or suitability.
  • To the maximum extent allowed by law, Overtype.ai is not liable for indirect, incidental, or consequential damages.
  • Direct liability is limited to the amount you paid us in the past 12 months.

9. Indemnification

You agree to indemnify and hold harmless Overtype.ai, its affiliates, employees, and partners against any claims, damages, or costs arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your infringement of third-party rights.

10. Changes to Terms & Service

  • We may update these Terms at any time.
  • Changes will be posted on our website or communicated to you.
  • Continued use of the Service means you accept updated Terms.

11. Termination

  • We may suspend or terminate your account for any violation of these Terms.
  • Upon termination, you lose access to your account and Credits.
  • Provisions regarding intellectual property, liability, indemnification, and governing law survive termination.

12. Privacy

Use of your personal data is governed by our Privacy Policy, incorporated into these Terms by reference.

13. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles.
  • Any dispute shall be resolved exclusively in the state or federal courts located in San Francisco County, California.
  • You consent to jurisdiction and venue in these courts.

14. Miscellaneous

  • Entire Agreement: These Terms are the entire agreement between you and Overtype.ai.
  • Severability: If any provision is invalid, the rest remains enforceable.
  • Waiver: Our failure to enforce a right does not waive it.
  • Assignment: You may not assign rights under these Terms; we may assign them to a successor entity.

15. Service Availability & Access

  • No Warranty of Access: The Service is provided “as is” and “as available” without any warranties, guarantees, or representations regarding availability, uptime, or continued access.
  • Discretionary Control: Overtype.ai reserves the absolute right to suspend, modify, restrict, or terminate your access to the Service at any time, for any reason, or for no reason, with or without notice.
  • No Guaranteed Access: You acknowledge and agree that you have no contractual or legal right to continued access to the Service, regardless of your account status, Credits balance, or payment history.
  • Service Modifications: We may modify, discontinue, or change any aspect of the Service without prior notice or liability to you.
  • No Obligation to Explain: Overtype.ai is under no obligation to provide reasons, explanations, or advance notice for any access restrictions, suspensions, or terminations.
